Legal - Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and Zaibex LLC (“Zaibex”, “we”, “us”, or “our”). They govern your access to and use of the website at zaibex.com, including all content, pages, and tools on it (the “Site”).

By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Site.

If you use the Site on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.

Zaibex LLC is a full-stack engineering studio formed in Colorado, United States. The Site is our marketing and information presence. It describes the services we offer, but it is not itself an offer to contract.

You must be at least 18 years old and able to form a legally binding contract to use the Site. The Site is intended for business and professional use.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your own lawful, personal, or internal business purposes. You agree not to:

• Use the Site in any unlawful way, or for any unlawful or harmful purpose.
• Copy, reproduce, republish, or redistribute Site content except as expressly permitted by these Terms.
• Attempt to gain unauthorized access to the Site, its servers, or any related systems or networks.
• Interfere with or disrupt the Site — including by transmitting malware, or by overloading, flooding, or spamming it.
• Scrape, data-mine, or use automated means to extract content, except as permitted by our robots.txt.
• Reverse engineer or attempt to derive the source code of the Site.
• Misrepresent your identity or affiliation, or submit false or misleading information through our forms.

The Site and all of its content — including text, copy, design, layout, graphics, logos, the “Zaibex” name and marks, code, and case-study material — are owned by Zaibex or its licensors and are protected by intellectual-property laws.

Nothing in these Terms transfers any ownership to you. You may not use our name, logo, or branding without our prior written permission.

When you submit information through our forms — including project enquiries, job applications, and newsletter signups — you confirm that the information is accurate and that you have the right to share it. We handle personal information in those submissions as described in our Privacy Policy.

Please do not send us confidential or proprietary information through the Site. Any unsolicited ideas, feedback, or suggestions you send us are treated as non-confidential, and you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.

The Site, including any blog articles, guides, and the voice-agent ROI calculator, is provided for general information only. It does not constitute professional, legal, financial, or engineering advice, and any figures or estimates — including calculator output — are illustrative, not a quote or guarantee.

You should not rely on Site content as the sole basis for any decision. Engagements with Zaibex are governed exclusively by a separate written agreement.

Using the Site, submitting a form, or booking a discovery call does not create a client relationship, a contract, or any obligation for Zaibex to provide services. A binding engagement arises only when both parties sign a written agreement.

The Site may link to third-party websites and services — for example, a scheduling tool or social-media profiles. We do not control and are not responsible for their content, policies, or practices. Links are provided for convenience and are not an endorsement.

The Site is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory — including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Site will be uninterrupted, timely, secure, error-free, or free of harmful components, or that any content is accurate, complete, or current. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

To the maximum extent permitted by law, Zaibex and its founders, members, and personnel will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of — or inability to use — the Site.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Site will not exceed one hundred United States dollars (US$100).

These limitations apply regardless of the legal theory on which a claim is based, and even if we have been advised of the possibility of such damages.

You agree to indemnify and hold harmless Zaibex and its founders, members, and personnel from any claims, damages, liabilities, costs, and expenses — including reasonable legal fees — arising out of your use of the Site, your violation of these Terms, or your violation of any law or the rights of any third party.

We may modify, suspend, or discontinue any part of the Site at any time, without notice. We may also update these Terms from time to time; when we do, we will revise the “Last updated” date shown above. Continued use of the Site after changes take effect means you accept the revised Terms.

We may suspend or terminate your access to the Site at any time, without notice, if you breach these Terms or if we reasonably believe your use poses a risk to Zaibex or others. The sections that by their nature should survive termination — including intellectual property, submissions, disclaimers, limitation of liability, and indemnification — will survive.

These Terms are governed by the laws of the State of Colorado, United States, without regard to its conflict-of-laws rules.

You agree that any dispute arising out of or relating to the Site or these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in Colorado, and you consent to personal jurisdiction there. Nothing in this section limits any mandatory consumer-protection rights you may have under the law of your country of residence.

These Terms, together with the Privacy Policy, are the entire agreement between you and Zaibex regarding the Site. If any provision is found unenforceable, the remaining provisions stay in effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
